Terms of Service

These Terms of Service ("Terms") govern your access to and use of Citingly's website (citingly.com) and services (collectively, the "Service"). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. The Service

Citingly provides a brand intelligence platform that helps businesses understand and improve how their brand is represented across AI-powered assistants and search engines. Features include structured data auditing, SEO analysis, GEO/AEO scoring, AI citation tracking, and causal timelines.

2. Eligibility

You must be at least 18 years old and have the legal authority to enter into contracts to use the Service. By using the Service, you represent that you meet these requirements. If you are using the Service on behalf of a business or organization, you represent that you have the authority to bind that entity to these Terms.

3. Accounts

3.1 Registration

To access most features, you must create an account. You agree to provide accurate, current, and complete information during registration and to keep your account information up to date.

3.2 Account security

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately at hello@citingly.com if you suspect unauthorized access.

3.3 One account per person

Each account is for a single user. You may not share your account credentials with others or create multiple accounts to circumvent plan limits.

4. Subscriptions and Billing

4.1 Plans

Citingly offers subscription plans (Starter, Pro, Enterprise) with features and limits as described on the pricing page. Plan details are subject to change with reasonable notice.

4.2 Free trial

Paid plans include a 7-day free trial. You will not be charged until the trial period ends. You may cancel at any time during the trial without charge.

4.3 Billing

Subscriptions are billed in advance on a monthly or annual basis depending on your selected billing cycle. All fees are in US dollars. You authorize us to charge your payment method on file at the start of each billing period.

4.4 Cancellations

You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of your current billing period; you will retain access to the Service until then. We do not provide refunds for partial billing periods.

4.5 Price changes

We may change subscription prices with at least 30 days' notice. Price changes take effect at your next renewal date.

5. Acceptable Use

You agree not to:

• Use the Service to violate any applicable law or regulation
• Scrape, crawl, or extract data from the Service beyond normal use
• Circumvent any access controls or rate limits
• Use the Service to compete with Citingly or build a competing product
• Attempt to gain unauthorized access to any part of the Service or its infrastructure
• Transmit malware, spam, or other harmful code
• Impersonate any person or entity
• Interfere with or disrupt the integrity or performance of the Service

We reserve the right to suspend or terminate accounts that violate these terms without notice.

6. Your Content and Data

6.1 Your data

You retain ownership of the domains, queries, and any other data you input into the Service ("Your Data"). By using the Service, you grant Citingly a limited license to process Your Data solely to provide the Service to you.

6.2 Accuracy

You are responsible for the accuracy and legality of Your Data. You represent that you have the right to submit any domains or content to the Service.

6.3 Data retention

We retain Your Data for as long as your account is active. Upon cancellation, we may retain anonymized or aggregated data derived from Your Data. You may request deletion of your account data by contacting hello@citingly.com.

7. Intellectual Property

The Service, including all software, design, text, and data generated by Citingly (not Your Data), is owned by Citingly and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works from any part of the Service without our prior written consent.

8. Third-Party Services and Google APIs

The Service integrates with or relies on third-party services including Clerk (authentication), Stripe (payments), and various AI providers (OpenAI, Anthropic, Google). Your use of those services is governed by their respective terms. We are not responsible for the availability or accuracy of third-party services.

The Service uses the Google PageSpeed Insights API to analyze URLs you submit for performance auditing. By using this feature, you agree to Google's API Services User Data Policy. Our use of data received from Google APIs complies with the Limited Use restrictions described in our Privacy Policy, Section 1.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

Results from AI citation tracking and GEO/AEO scoring are based on live AI model outputs, which may vary. We do not guarantee specific outcomes from using the Service.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, CITINGLY AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) $100.

11. Indemnification

You agree to indemnify and hold harmless Citingly and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, or expenses (including reasonable legal fees) arising out of or related to your violation of these Terms or your use of the Service.

12. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice, including for violation of these Terms. Upon termination, your right to use the Service ceases immediately. Sections 6, 7, 9, 10, 11, and 13 survive termination.

13. Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict of law principles. Any dispute arising out of or relating to these Terms or the Service shall be resolved by binding arbitration on an individual basis. You waive any right to participate in a class action.

14. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the new Terms on this page and updating the effective date. Your continued use of the Service after the changes take effect constitutes your acceptance of the revised Terms.
